This Acceptable Use Policy (“AUP”) governs use of Wrike, Inc.’s and/or its Affiliates’ (collectively, “Wrike”) hosted, on-demand, cloud-based service offerings (the “Service”). “You” and “Your” mean the “Customer” individual or legal entity accessing and using the Service under an agreement with Wrike, and any Users granted such access and use rights by Customer. Capitalized terms not otherwise defined in this AUP will have the meaning of the same or substantially equivalent term in the agreement between You and Wrike incorporating this AUP by reference and governing Your use of the applicable Service (the “Agreement”).
You agree not to:
- modify, copy, display, republish, distribute, reverse engineer, reverse assemble, dissemble, decompile, attempt to decipher, or create derivative works based on the Service, the underlying software, or the Wrike Materials;
- access the Service to build a competitive product or service, or copy any ideas, features, functions or graphics of the Service;
- license, sublicense, sell, resell, rent, lease, transfer, assign (except as expressly permitted in Agreement), distribute, time share or otherwise similarly exploit or make the Service available to any third party, other than to Users or as otherwise contemplated by this Agreement;
- use the Service to send or store infringing, abusive, harassing, obscene, threatening, libelous, slanderous, fraudulent, or otherwise unlawful or tortious material, including material harmful to children or violative of third-party privacy rights;
- upload to the Service or use the Service to send or store viruses, worms, time bombs, Trojan horses or other harmful or malicious code, files, scripts, agents or programs;
- interfere with or disrupt the integrity or performance of the Service or the data contained therein;
- attempt to gain unauthorized access to the Service or its related systems or networks:
- allow User licenses to be shared or used by more than one individual (except that User licenses may be reassigned to new Users, replacing individuals who no longer use the Service;
- access, integrate to, or search the Service (e.g., “scraping”) by any means other than via Wrike’s publicly available API, only after Customer’s agreement to such API terms of use located at https://www.wrike.com/api-terms/;
- impersonate another person or entity, or misrepresent an affiliation with a person or entity (e.g., “spoofing” or “phishing”); (xii) send unsolicited communications, promotions, advertisements, or spam by using or in connection with the Service; (xiii) violate Wrike’s Abusive Customer Policy described at https://www.wrike.com/legal/enterprise-wsupport/#abusive; or
- through Customer’s or its Users’ use of the Service, export, re-export, transfer, or make available, whether directly or indirectly, any regulated item or information to anyone outside the U.S. without first complying with all applicable export control laws and regulations that may be imposed by the U.S. Government and any country or organization of nations within whose jurisdiction Customer operates or does business, and shall not cause Wrike to violate the same.
